FOON HAY SENIORS GOLF CLUB

Membership
Duration. The duration of membership shall be continued for all members in good standing.
Limitation. The membership shall be limited to eighty (80) members.
Officers
Officers. The officers of this Club shall include President, Vice-President, Secretary, Treasurer, Tournament Chair, Director(s) at Large, and Webmaster. The number of officers shall be determined in order to fill the Executive Board with to a maximum of nine (9) members total.
Salary. All officers shall serve without compensation or salary of whatever nature with the following two exceptions:
Webmaster. The Webmaster shall have annual dues paid by the Club in recognition of the size and importance of the job.
Tournament Chair. The monthly Tournament Chair shall have his/her tournament fee paid by the club except for the prize fund and any extra competitions.
Term of Office. Each officer shall serve for two years in an individual position.

Executive Board Vacancy. A vacancy in the Executive Board shall be filled by appointment by the remaining members of the Board. A member so appointed shall have all the rights, privileges and obligations of a regularly elected member to such office. The appointment will be in effect until the end of the term for the position the appointee is filling.

Duties of Officers. Duties of the officers are spelled out in the Foon Hay Policies and Procedures, and are subject to change over time.
Club Meetings
General and Special Meetings. General or special meetings of the Club may be called by the President at any time. Members of the Executive Board or the general membership may request meetings for variety of reasons for the general good of the club.

Meeting Notices. Due notice of all meetings shall be given by the Secretary and/or the Webmaster, and such notice shall state the purpose and objectives of the meeting.

Quorum. For all meetings, general or special, 40% of the total membership shall constitute a quorum for the conduct of business. A quorum for a meeting of the Executive Board shall be a majority of the members of the board.

Majority Vote. A majority vote of the members present is required for the passage or adoption of all questions and resolutions.

Conduct of Meetings. In the absence of rules in the Constitution and By-Laws of this Club, the proceedings of any and all meetings of the Club, whether of the Executive Board or of the general membership, shall be conducted in accordance with established parliamentary procedure, and for that purpose shall be governed by Robert's Rules of Order.
Budget, Dues and Assessments
Budget. The President shall develop the annual budget in cooperation with the Treasurer subject to approval of the Executive Board.

Membership Dues. Members shall pay annual dues that shall cover individual dues for NCGA as well as projected operating expenses of the club. The dues level shall be determined by the Executive Board prior to the renewal period and communicated to the membership.

Payment of Dues. All payments for dues, assessments, indebtedness, or any other payments must be made to the Keeper of the Roster who shall forward the payments to the Treasurer.

Delinquency. All dues shall be payable and due on the first day of November of each year, and shall be delinquent if not paid by the last day of November of each year.

Initiation Fee. An initiation fee shall be levied on each new member. The Executive Board shall determine the amount of the initiation fee. The initiation fee shall include $1 to the Hole-in-One Fund.

Assessments. Any additional assessments shall be levied by a two-thirds (2/3) vote of the club members voting. Such assessments shall be levied on all Club members equally. Voting may be conducted at a special meeting called for this purpose or through electronic means.

Expenditures. The President shall have the power to authorize any and all expenditures not specified in the yearly budget up to one hundred dollars ($100.00). Where the proposed expenditure is in excess of one hundred dollars ($100.00), the additional approval of the Executive Board shall also be required.

Limitations. At no time may the Treasurer or any other member of the Club borrow, pledge, loan out, or speculate with Club funds. The Treasurer or member so doing shall be held personally responsible. Exception: Monies paid to courses as deposits for future tournaments shall be part of the normal operation of this club and not subject to this limitation.

Amendments
Amendments to these By-Laws may be made at any regular or special meeting called for that purpose, by a two-thirds (2/3) vote of the membership present provided that due notice of such proposed amendment shall have been mailed or posted to the club web site at least ten (10) days before such meeting. Such vote may also be conducted using electronic means following posting of proposed amendments on the club website.
