CONSTITUTION

OF THE

ASSOCIATION OF INTERNATIONAL GOLF CLUBS

ORIGINALLY ADOPTED 1974

 

ARTICLE I

Name

The name of this organization shall be the Association of International Golf Clubs
ARTICLE II

Objects

The objects of this Federation are:
1. To promote the best interests of golf and fellowship among Chinese golf clubs.

2. To promote uniformity of clubs and adherence to U.S.G.A. rules of the game.

3. To provide an organization for all Chinese golf clubs as a means of communication and fraternity.

4. To provide an advisory organization to aid other groups of golfers wishing to form a Chinese golf club.

ARTICLE III

Membership

Regular Members: Any Chinese golf club is eligible to regular membership in this Association.
ARTICLE IV

Administration

The management of the affairs and property of this Association shall he conducted by a Board of Directors composed of two (2) delegates or representatives from each of the member clubs. A majority of the members of the Board shall constitute a quorum.
ARTICLE V

Officers

The officers of this Association to be elected by the Board of Directors and their duties shall be as follows:

SECTION 1. A PRESIDENT, who shall preside at all meetings of the Board and be the General Executive Officer of the Association, with power to appoint such committees as he or she may deem proper for the furtherance of the objects of this Association.

SECTION 2. A FIRST VICE-PRESIDENT, who shall perform the duties of the President in his or her absence or disability. The First Vice-President shall be the Membership Chair for the Association.

SECTION 3. A SECOND VICE-PRESIDENT, who shall perform the duties of the President in the absence or disability of the President and First Vice-President.

SECTION 4. A SECRETARY-TREASURER, who shall keep all records of the meetings of the Board and the business of this Association and shall issue calls for such meetings. In his or her absence or disability, a Secretary Pro-Tem to be appointed by the President shall fulfill his or her duties. As Treasurer, he or she shall collect all moneys belonging to the Association and disburse the same under the direction of the President with approval of the Board of Directors. Compensation for services rendered will be determined by the Board of Directors.

SECTION 5. A WEBMASTER, who shall maintain a website for the Association to further the communications goals. He or she shall also maintain an email list for ease of communication with the clubs and their officers.

ARTICLE VI
SECTION 1. An annual meeting of the Board of Directors shall be held once a year. The time and the place shall be designated by resolution of the Board of Directors.

SECTION 2. Term. Each delegate or representative will be elected for a term of two (2) years. In the first year as a Regular Member of the Association, the member club will appoint two (2) delegates or representatives for terms of' one (1) year and two (2) years respectively.

SECTION 3. Such reasonable notice of the annual meeting shall be given as the President may determine.

SECTION 4. A special meeting of the Board of Directors may be called by the President at such time and place and upon such reasonable notice as he or she may fix and shall be so called by him or her at the request of the majority of the Board of Directors.

SECTION 5. The Board of Directors may act without meeting, provided the matter to be voted upon is submitted in writing to all members of the Board. Any such written vote shall require a majority of all members of the Board.

ARTICLE VII

Dues

Annual dues shall be in such amount and payable at such time as the Board of Directors may determine.
ARTICLE VIII
No club shall suffer any penalty or be deprived of any privilege without due notice and formal charges with particular specifications of such charges and a hearing upon the same.
ARTICLE IX

Amendments

Amendments to this Constitution or the By-Laws of this Association shall he proposed by the Board of Directors.
ARTICLE X

Upon the adoption of this Constitution, an organization meeting of those named as Directors of this Federation shall be held at such time and place as may be fixed by the President. At such meetings all provisions of this Constitution as to the annual meeting of the Board shall apply.

SECTION 1. The following order of business shall be observed at the annual meeting of the Board of Directors.
1. Roll Call,
2. Read Minutes of Previous Meeting,
3. President's Report,
4. Secretary-Treasurer's Report.
5. Election of Member Clubs,
6. Unfinished Business,
7. New Business,
8. Adjournment.

SECTION 2. The President shall appoint any committees deemed necessary for the furtherance of the objects of this Association.

SECTION 3. The President shall be ex-officio a member of all committees.

SECTION 4. On all questions as to the construction or interpretation of these By-Laws, the decision of the Board of Directors shall be final.

SECTION 5. An initiation fee of $5O.OO shall be paid by every applicant accepted for membership in this Association before such applicant may qualify for Regular Membership.

Section 6. The business year of this Association shall be on the fiscal year basis from June 1 through May 31.

Section 7. The term of office for elected officers of this Association will be for a period of two years effective June 1, 1974.
